The entertainment giant, Bandai Namco Holdings Inc. (Bandai Namco HD), announced that it would take measures to restructure the Group’s domestic operations, including takeover bids (TOBs) of its two consolidated subsidiaries, Bandai Visual Co., Ltd. and Bandai Networks Co., Ltd.
The restructuring program is composed of two major elements. One is the TOB of its two subsidiaries, a visual and audio content packaging company, Bandai Visual, and a mobile business company, Bandai Networks, both are listed companies. Bandai Namco HD plans to own these companies wholly through the planned TOB and later through exchange of shares.
Bandai Namco HD also plans to transfer the home and arcade game business arms of one of its subsidiary, Banpresto Co., Ltd., to another subsidiary, Bandai Namco Games, Inc. In addition, Banpresto’s two subsidiaries for amusement facility operation, PleasureCast Co., Ltd. and Hanayashiki Co., Ltd., will become subsidiaries of Namco Ltd.
According to Bandai Namco HD, the planned TOB of Bandai Visual and Bandai Networks aims at promoting the quick management decision-making for realizing the Group’s mid and long-term strategies.
Officials of Bandai Namco HD say that, by holding 100% share of the two companies, the Group will be able to further generate synergies and maximize corporate values.

Under the TOB scheme, Bandai Namco HD will purchase shares of Bandai Visual at 287,000 yen per share and Banpresto at 60,300 yen per share. These prices are 25% and 32% higher, respectively, than the weighted stock price average for the last month ending November 7.
Tender offers for the TOB can be made by December 10 and if there are any shares Bandai Namco cannot purchase through TOB, the remaining shares will be later exchanged to Bandai Namco HD shares. The TOB cost is estimated to be, at a maximum, approximately 15.5 billion yen for Bandai Visual and 3.6 billion yen for Bandai Networks, totaling 19.1 billion yen.
